1. Acceptance of Terms
By accessing and using the ThriveOnDigital website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.
2. Services
ThriveOnDigital provides digital solutions including but not limited to web development, app development, SEO optimization, and content creation. The specific scope, deliverables, and timelines for each project will be outlined in a separate service agreement or statement of work agreed upon by both parties.
3. User Responsibilities
You agree to provide accurate and complete information when using our services, including during account registration, project briefings, and communication with our team. You are responsible for maintaining the confidentiality of any account credentials associated with our services.
4. Intellectual Property
All content, designs, code, graphics, and materials created by ThriveOnDigital remain our intellectual property until full payment has been received. Upon complete payment, ownership of the deliverables will transfer to the client as outlined in the applicable service agreement. ThriveOnDigital reserves the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
5. Payment Terms
Payment terms, including amounts, schedules, and accepted methods, will be specified in the individual service agreement. Unless stated otherwise, invoices are due within 30 days of issuance. Late payments may incur additional charges as specified in the service agreement.
6. Limitation of Liability
To the maximum extent permitted by applicable law, ThriveOnDigital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the use of our services.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any service agreement and remains in effect for a period of two years thereafter.
8. Termination
Either party may terminate a service agreement by providing 30 days' written notice. In the event of termination, the client shall pay for all work completed up to the date of termination. ThriveOnDigital reserves the right to terminate services immediately if payment obligations are not met.
9. Modifications to Terms
ThriveOnDigital reserves the right to update or modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any modifications constitutes acceptance of the updated terms.
10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which ThriveOnDigital operates. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.
